Terms of Service
1. Acceptance of Terms
By accessing our website, using our services, signing a purchase/rental contract for robots, or accepting delivery of robots from NAISCORP ROBOTICS SMART TECHNOLOGY JOINT STOCK COMPANY fully accept these Terms of Service.
If you are entering into this agreement on behalf of a legal entity, you represent and warrant that you have full authority to bind that entity.
2. Scope of Services
Naiscorp provides the following services:
- Sale of service robots and related equipment
- Monthly or annual robot rental
- Provision of control software and over-the-air (OTA) software updates
- Warranty, maintenance, and repair services
- Operator training services
- Cloud services and storage of data generated by the robot (maps, navigation paths, video, audio, etc., if applicable)
3. Ordering - Purchase or Rental Contracts
- All orders (whether in writing, by email, or through the website) become binding only upon written confirmation from Naiscorp Robotics.
- Prices and payment terms are specified in the quotation or separate contract.
- The customer shall pay any required deposit and remaining amounts strictly according to the agreed schedule.
4. Delivery and Acceptance
- Delivery dates are estimates only unless otherwise agreed in writing.
- Risk of loss or damage passes to the customer upon delivery or completion of installation at the location designated by the customer.
5. Ownership and License
- Purchase contracts: Ownership of the robot transfers to the customer only after full payment has been received.
- Rental contracts: The robot remains the property of Naiscorp Robotics throughout the rental period. The customer may not pledge, transfer, sub-lease, or disassemble the robot.
- Software and intellectual property: The customer is granted a non-exclusive, non-transferable license to use the software provided with the robot.
6. Warranty
- New robots are warranted for 12–36 months (depending on the model) from the date of delivery.
- Rented robots receive free maintenance (including replacement of normal wear-and-tear parts) throughout the rental term.
- The warranty does not cover damage caused by improper use, accidents, natural disasters, or repairs performed by unauthorized third parties.
7. Data Generated by the Robot
- Robots may record floor maps, navigation paths, images, and audio (if equipped with cameras/microphones).
- The customer is solely responsible for informing and obtaining consent from individuals being recorded in accordance with Vietnamese law (including Decree 13/2023/ND-CP on personal data protection).
- Naiscorp may remotely access technical data for maintenance and product improvement purposes but will not use the customer's business data for commercial purposes without explicit consent.
8. Payment and Late Payment Fees
The customer shall pay invoices on or before the due date.
Payments overdue by 15 days or more will incur late payment interest of 0.05% per day on the outstanding amount, and Naiscorp reserves the right to suspend services (including remote locking of rented robots' software).
9. Termination of Rental Contracts
- A rental contract may be terminated early if either party materially breaches its obligations.
- Upon termination, the customer must return the robot in normal condition (ordinary wear and tear excepted). If the robot is lost or severely damaged, the customer shall compensate Naiscorp Robotics for 100% of the remaining value.
10. Limitation of Liability
Naiscorp Robotics total liability (whether for breach of contract or tort) shall not exceed the total amount paid by the customer in the preceding 12 months.
Naiscorp Robotics shall not be liable for indirect, consequential, incidental damages, loss of profit, or loss of business data.
11. Confidentiality
Both parties agree to keep confidential each other's business and technical information during the term of the contract and for 3 years thereafter.
12. Governing Law and Dispute Resolution
These terms are governed by the laws of Vietnam.
Any dispute shall first be resolved through amicable negotiation. If negotiation fails, the dispute shall be submitted to the Vietnam International Arbitration Centre (VIAC) or the competent court in Ho Chi Minh City.
